How does a Nevis LLC or IBC work?

A Nevis LLC keeps legal ownership of the company's assets separate from the members behind it; a Nevis IBC achieves the same thing through a traditional share structure.

The LLC is created under the Nevis Limited Liability Company Ordinance 1995 and held by one or more members, who can either run it themselves or bring in a manager for day-to-day operations. Its Operating Agreement lays out the membership interests, who has management authority, and how distributions are made.

The IBC is created under the Nevis Business Corporation Ordinance and held by shareholders, who appoint directors to run it. Both structures are registered through a licensed Nevis registered agent and can hold bank accounts, investments, and other approved assets in the company's own name.

  • Members or shareholders: own the company and carry its economic and voting rights.
  • Manager or directors: take care of everyday banking, investment, and operating decisions.
  • Registered agent: keeps the company's registration and statutory records current in Nevis.
  • Operating Agreement or M&A: spells out governance, distributions, and the rights of members or shareholders.

Offshore Broker handles entity selection, the registered agent, due diligence, and formation.

Structure comparison

Nevis LLC vs Nevis IBC — which do I need?

For asset protection, the LLC is nearly always the right pick — it alone comes with the exclusive charging-order remedy and the mandatory $100,000 creditor bond. The IBC is better for international trading, IP holding, or non-US clients who don't need tax transparency.

What is a Nevis LLC?

A Nevis LLC is a Limited Liability Company formed under the Nevis Limited Liability Company Ordinance 1995 (as amended). It is widely seen as the strongest offshore LLC in the world for creditor protection: the charging order is a creditor's only remedy (it lasts just three years and cannot be renewed), a creditor must post a $100,000 bond before filing any lawsuit, the fraudulent transfer standard is beyond reasonable doubt, and Nevis courts do not recognise foreign judgments.

What is the difference between a Nevis LLC and a Nevis IBC?

A Nevis LLC has members and managers, delivers the strongest offshore creditor protection through its exclusive charging order remedy and $100,000 creditor bond, and fits asset-protection clients and US persons who want tax transparency. A Nevis IBC is a traditional share company with directors and shareholders, and it is better for international trading, IP holding, and non-US clients. For most US persons focused on asset protection, the LLC is the right choice.

Do I need a trust to have a Nevis LLC?

No. A Nevis LLC gives standalone creditor protection — the $100,000 bond and the three-year charging order apply whether or not a trust sits above it. That said, the LLC is at its strongest with a Cook Islands Trust on top, because the trust puts the LLC membership interest entirely out of reach of US creditor enforcement.

How does the $100,000 creditor bond work?

Under the Nevis Limited Liability Company Ordinance, a creditor who wants to bring legal action against a Nevis LLC in Nevis courts must first lodge a bond with the Permanent Secretary in the Ministry of Finance, usually set by the High Court at $100,000 or more. Because that deposit is non-refundable, it stops speculative litigation before it can start.

Does the Nevis charging order actually work?

For an LLC creditor, the Nevis charging order is the only remedy — the creditor cannot force distributions, step into management, or have the LLC wound up. If the LLC holds on to its earnings, the creditor gets nothing across the three-year period, and the order cannot be renewed once it ends. One caveat: some US courts have allowed domestic foreclosure of single-member foreign LLC interests, which is why adding a Cook Islands Trust gives significantly stronger protection.

How much does a Nevis LLC cost?

A standalone Nevis LLC starts at $2,000, covering all government registration fees and first-year registered agent costs. A Nevis LLC with an offshore bank account starts at $3,000. A Cook Islands Trust + Nevis LLC + offshore bank account starts at $12,000. Ongoing upkeep usually runs $750–$1,000 a year in registered agent renewal fees.

Is a Nevis company legal?

Yes. Holding a Nevis LLC or IBC is completely legal. What matters is reporting it correctly at home, not avoiding the structure itself. A US person must file Form 5471 each year for foreign corporations and comparable forms for LLCs, and the FBAR applies to offshore accounts. Offshore Broker builds every structure for home-country compliance from day one.

How long does Nevis company formation take?

Forming a Nevis LLC or IBC usually wraps up within one to three days of KYC clearance. Because we deal with Nevis registered agents directly, processing is quicker than with providers who work through intermediaries. Opening the offshore bank account then usually takes another four to eight weeks.

What assets can a Nevis LLC hold?

A Nevis LLC can hold almost any class of asset — cash and bank deposits, investment portfolios, cryptocurrency, precious metals, business interests, and intellectual property. US real estate is the exception; it cannot be shifted offshore the same way, because property always stays subject to the laws of wherever it sits.

Can a Nevis company open a bank account?

Yes — access to offshore banking is one of the main practical reasons to form a Nevis company. We handle the bank introduction and work with institutions that are actively taking on Nevis entities. A Nevis company gives you the structural route into offshore banking that individuals can no longer reach directly post-FATCA.

What documents do I receive on formation?

You receive your Articles of Organisation (LLC) or Articles of Incorporation (IBC), the Operating Agreement or M&A, a membership or share certificate, the registered agent appointment, and apostilled copies ready for opening a bank account — all prepared and delivered without you having to file anything yourself.
