How does a Bahamas IBC work?

Shareholders own a Bahamas IBC and appoint directors to run it — and one person may hold both roles.

You form the company under the Companies Act, 2000, and register it through a licensed Bahamas registered agent. It can issue several classes of shares, hold bank accounts and investments in its own name, and trade internationally without restriction.

One director and one shareholder are enough to form the company, and neither has to be resident in the Bahamas. The Registrar General's Department is responsible for company registration and compliance.

  • Shareholders: own the company and carry its economic and voting rights.
  • Directors: run the company's affairs and its banking relationships.
  • Registered agent: keeps the company's registration and statutory records in the Bahamas.
  • Memorandum and Articles: define the share structure, governance, and shareholder rights.

Offshore Broker brings together entity formation, the registered agent, due diligence, and banking.

Discuss your structure

Direct, licensed relationships with Bahamian registered agents — not a referral service

We hold direct, licensed relationships with Bahamas registered agents — not a referral intermediary — the same team that sets up Cook Islands and Nevis structures across 20+ jurisdictions.

A straight comparison — we say when Nevis or Cook Islands is the better choice for asset protection

Our Bahamas specialists work from the practical realities of formation and banking, not off-the-shelf offshore scripts.

Fixed-fee formation that includes all government fees and the first-year agent costs

Every government fee and the first-year agent cost are included in the price — no hidden costs, no surprise invoices.

Optional legal and tax advice to secure full home-country compliance

We compare the Bahamas honestly with Cook Islands and Nevis, so confidentiality is never mistaken for adversarial creditor defence.

Active in 20+ jurisdictions — the Bahamas, Cook Islands, Nevis, BVI, Cayman, and others

Optional legal and tax advice secures full home-country compliance — every structure is designed to be reported correctly, not concealed.

Structure comparison

The Bahamas Company set against a Cook Islands or Nevis Company

Both are genuine, well-regulated offshore vehicles, but they answer different needs. Cook Islands and Nevis companies are made for creditor protection, particularly when paired with a trust. Bahamas IBCs are made for confidentiality and tax-neutral international structuring.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime, with Nevis adding a $100,000 creditor bond.
Burden of proofA beyond-reasonable-doubt standard once paired with a Cook Islands or Nevis Trust.
Formation speed1–3 days, on par with the Bahamas.
Confidentiality & tax neutrality

Bahamas IBC

Creditor protectionGeneral common law principles — with no dedicated asset-protection statute.
ConfidentialityDirectors and shareholders are kept off any public register; strong statutory privacy.
Best useFor international trade, holding vehicles, and private wealth planning.
Choose Cook Islands or Nevis ↗When your main concern is creditor protection and defending assets.
Choose BahamasWhen your priority is confidential, tax-neutral international trading or holding.

Where Bahamas leads

For international trading, holding, and confidential structuring

A Bahamas company appeals most to clients who want strong confidentiality and a tax-neutral holding vehicle.

International trading businesses after a confidential, tax-neutral base
Holding companies for investment portfolios or property outside the Bahamas
Clients seeking strong statutory privacy with no public beneficial ownership register
Clients seeking a well-established Caribbean jurisdiction with a long offshore track record
When a different jurisdiction is the better fit

When the Bahamas on its own isn't the strongest option

The Bahamas provides real tax neutrality and privacy, yet it is not designed around dedicated creditor-protection statutes.

No dedicated charging-order or creditor-bond statute of the kind Cook Islands or Nevis have
On its own, protection depends on general common law principles rather than purpose-built legislation
Against adversarial creditor claims, a Cook Islands or Nevis structure gives materially stronger protection
Best combined with a trust when asset protection, not confidentiality alone, is the priority
For creditor protection in particular, compare the Cook Islands Company and Nevis Company. Where confidentiality and tax-neutral structuring are the aim, the Bahamas is often the stronger fit.
  • Bahamas registered agent application coordinated from start to finish
  • Trustee, registration and third-party costs itemised in the written quote
  • Bahamas-compliant formation documents prepared where required
  • Structure registered and prepared to receive trustee-approved assets

What is a Bahamas company used for?

People commonly use a Bahamas IBC for international trading, investment holding, and confidential wealth structuring. It is a well-established Caribbean offshore vehicle offering strong statutory privacy and zero tax on foreign-sourced profits.

Is a Bahamas company legal?

Yes. Bahamas IBCs are fully legal structures used by international families and businesses around the world. US persons must report the structure to the IRS each year on Form 5471. Offshore Broker makes sure every structure meets home-country reporting obligations in full.

Does a Bahamas company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same extent. The Bahamas has no dedicated asset-protection statute — creditor challenges are judged under general common law principles. For dedicated statutory creditor protection, we suggest the Cook Islands or Nevis Company, ideally combined with a trust.

How much does a Bahamas company cost?

Pricing starts at $2,000 and covers all government registration fees and first-year registered agent costs. You receive a full itemised quote before committing, with nothing hidden.

How long does Bahamas company formation take?

Forming a Bahamas IBC usually takes one to three days from KYC clearance. Opening the offshore bank account usually adds another four to ten weeks.

What are the minimum requirements for a Bahamas company?

One director and one shareholder are enough, and the same person can serve as both. Bahamas residency is not required, and directors and shareholders may be individuals or corporate entities from any jurisdiction.

Is Bahamas company ownership private?

Yes. No public register lists directors, shareholders, or beneficial owners. The public registry shows only the company name, registered agent, and incorporation date.

What assets can a Bahamas company hold?

A Bahamas IBC can hold almost any asset class — cash, securities, business interests, and international real estate. It can hold Bahamian real estate directly as well, though that particular activity is subject to local tax and stamp duty.

Can a Bahamas company open a bank account?

Yes. We handle the bank introduction and work with institutions that are actively onboarding Bahamas entities. The Bahamas' long-standing offshore reputation generally helps account opening move smoothly.

Do I need a lawyer to set up a Bahamas company?

We strongly advise getting independent legal and tax advice, especially if you are a US person with IRS reporting obligations. Offshore Broker manages the entire formation process and can introduce you to qualified advisors who specialise in Bahamas structures.

What are the annual costs of maintaining a Bahamas company?

Annual registered agent and government fees usually come to $750–$1,200 a year. US persons must also file Form 5471 each year — a CPA takes care of that, while we make sure the structure is documentation-ready to support compliance from day one.
