How does a RAK ICC or JAFZA Offshore company work?

Shareholders own a UAE offshore company and appoint directors to run it — and one person can hold both roles.

RAK ICC (the Ras Al Khaimah International Corporate Centre) was set up in 2006 and unified in 2017; JAFZA Offshore has run under the Jebel Ali Offshore Companies Regulations since 2003. Each is registered through licensed UAE registered agents and can hold bank accounts and investments in its own name.

One director and one shareholder are enough to form the company, and you never need to travel to the UAE. JAFZA is the only UAE offshore vehicle that can hold Dubai freehold property directly through the Dubai Land Department; RAK ICC's property access is more limited.

  • Shareholders: own the company and carry its economic and voting rights.
  • Directors: run the company's day-to-day affairs and banking relationships.
  • Registered agent: keeps the company's registration and statutory records up to date in the UAE.
  • Memorandum and Articles: lay out the share structure, governance, and shareholder rights.

Offshore Broker coordinates the choice between RAK ICC and JAFZA, the registered agent, and the banking.

Structure comparison

The Dubai Company compared with a Cook Islands or Nevis Company

Both are genuine, well-regulated offshore vehicles, but they are made for different jobs. Cook Islands and Nevis companies are built for creditor protection. UAE offshore companies are built for Gulf-region access and tax-neutral international holding.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime; Nevis adds a $100,000 creditor bond on top.
Tax treatmentA purpose-built offshore regime with zero tax.
Best useCreditor protection on its own or paired with a trust.
Gulf-region access

RAK ICC or JAFZA Offshore

Creditor protectionGeneral common law and civil principles, with no dedicated asset-protection statute.
Tax treatmentNo tax on genuinely offshore, non-mainland income.
Best useAccess for Gulf-region trading, holding, and multi-currency banking.
Choose Cook Islands or Nevis ↗If protecting assets and fending off creditors is your main concern.
Choose DubaiIf your priority is reaching Gulf-region business, banking in several currencies, or holding Dubai property through JAFZA.

What the United Arab Emirates does best

Trading, holding, and property access across the Gulf region

A UAE offshore company makes the most sense for clients with real Gulf-region business, banking, or property interests.

International traders with business ties in the Middle East or wider Gulf region
Investors looking to hold Dubai freehold property through JAFZA Offshore
Clients seeking multi-currency banking through UAE institutions
Holding companies used for regional investment and trading structures
When another jurisdiction is the better fit

When Dubai on its own isn't the strongest option

The UAE brings real tax neutrality and regional access, but it isn't designed around dedicated creditor-protection statutes.

No dedicated charging-order or creditor-bond statute of the kind Cook Islands or Nevis have
Cannot bill UAE mainland customers or grant UAE residency — that calls for a free zone company
Treaty benefits aren't assured for pure offshore vehicles — check this country by country
Against adversarial creditor claims, a Cook Islands or Nevis structure gives materially stronger protection
When it's creditor protection you're after, compare the Cook Islands Company and Nevis Company. For Gulf-region access and tax-neutral holding, Dubai is often the better fit.
  • Dubai registered agent application coordinated from start to finish
  • Trustee, registration and third-party costs itemised in the written quote
  • Dubai-compliant formation documents prepared where required
  • Structure registered and prepared to receive trustee-approved assets

What is a Dubai offshore company used for?

A UAE offshore company — set up through RAK ICC or JAFZA Offshore — is typically used for international trading, holding investments, and (through JAFZA in particular) owning Dubai freehold property directly, together with access to UAE multi-currency banking.

Is a Dubai offshore company legal?

Yes. RAK ICC and JAFZA Offshore companies are completely legal, government-regulated structures. US persons must report the structure to the IRS each year on Form 5471. Offshore Broker makes sure every structure meets its home-country reporting obligations in full.

What is the difference between RAK ICC and JAFZA Offshore?

RAK ICC is usually the more cost-effective option and serves as the unified registry for Ras Al Khaimah, established in 2006. JAFZA Offshore, based in Dubai's Jebel Ali Free Zone since 2003, is the only UAE offshore vehicle that can own Dubai freehold property directly. We help you decide based on your particular objectives.

Does a UAE offshore company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same extent. The UAE has no dedicated asset-protection statute — creditor challenges are judged under general common law and civil principles. For dedicated statutory creditor protection, we recommend a Cook Islands or Nevis Company, ideally paired with a trust.

How much does a UAE offshore company cost?

Pricing starts at $2,500 and covers all government registration fees and first-year registered agent costs. You receive a full itemised quote before committing, with nothing hidden.

How long does UAE offshore company formation take?

Formation usually finishes within three to five business days of KYC clearance. Opening a multi-currency bank account then typically takes another four to ten weeks.

Can a UAE offshore company trade with UAE mainland customers?

No. UAE offshore companies — RAK ICC and JAFZA Offshore — are non-resident entities built for international business, so they cannot bill UAE mainland customers directly or keep physical premises inside the UAE. For that you need a free zone or mainland company structure.

What assets can a UAE offshore company hold?

A UAE offshore company can hold almost any type of asset — cash, securities, business interests, and, through JAFZA Offshore in particular, Dubai freehold real estate held directly via the Dubai Land Department.

Can a UAE offshore company open a bank account?

Yes. We handle the bank introduction and work with UAE institutions that are actively onboarding RAK ICC and JAFZA Offshore entities and that offer real multi-currency banking depth.

Do I need a lawyer to set up a UAE offshore company?

We strongly advise getting independent legal and tax advice, especially for US persons with IRS reporting duties and on the scope of UAE corporate tax. Offshore Broker manages the whole formation process and can put you in touch with qualified advisors.

What are the annual costs of maintaining a UAE offshore company?

Registered agent and government fees generally come to $1,000–$1,800 a year. US persons must also file Form 5471 annually — a CPA takes care of that, and we make sure the structure is documentation-ready to support compliance from the start.
