How does a Mauritius Global Business Company work?

Established under the Companies Act 2001, a Mauritius GBC is licensed by the Financial Services Commission for companies whose business is carried on mainly outside Mauritius.

Following the 2018–2019 reforms that brought Mauritius into line with OECD and EU standards on substance and transparency, the GBC took the place of the old GBC1 category. A local management company serves as the link between the GBC and Mauritius regulators, banks, and other institutions.

Clients who do not need Mauritius tax residency can instead use an Authorised Company (AC), a non-resident, lighter-substance option that is taxed where it is centrally managed and controlled rather than in Mauritius.

  • Shareholders: hold the company outright, along with its economic and voting rights.
  • Directors: run the company's affairs, with backing from the local management company.
  • Local management company: a required point of liaison with the FSC and Mauritius institutions.
  • Constitution: lays out the share structure, governance, and shareholder rights.

Offshore Broker handles the whole chain — entity choice, licensing, due diligence, and banking.

Structure comparison

Mauritius Company vs Cook Islands or Nevis Company

Both are real, well-regulated company jurisdictions, yet they tackle completely different problems. Cook Islands and Nevis companies exist for creditor protection. Mauritius exists for genuine treaty structuring toward Africa and Asia — a jurisdiction that calls for real substance, not a shell.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime, with Nevis adding a $100,000 creditor bond.
Tax treatmentNo tax at all — a purpose-built offshore centre.
Best useCreditor protection on its own or paired with a trust.
A treaty gateway for Africa & Asia.

Mauritius GBC

Creditor protectionGeneral common law only — there is no dedicated asset-protection statute.
Tax treatment~3% effective on qualifying income, provided genuine substance requirements are met.
Best useInvestment holding and treaty-driven trading oriented toward Africa and Asia.
Choose Cook Islands or Nevis ↗If creditor protection and asset defence are your main concern.
Choose MauritiusIf what matters most is genuine African or Asian business, a credible regional base, or treaty-reduced withholding tax.

Where Mauritius leads

Investment and treaty-driven trading that faces Africa and Asia

The Mauritius GBC makes the most sense for clients whose real investment or business interests reach across Africa and Asia.

Investors directing capital toward African infrastructure, real estate, or operating businesses
Businesses whose cross-border dividend, interest, or royalty flows pass through treaty-partner countries such as India and China
Clients after a credible, FSC-regulated regional base that bridges French and English business traditions
Structures that can sustain genuine local substance — office, management, and audited accounts
When a different jurisdiction is the better fit

Where Mauritius on its own falls short

Mauritius gives genuine treaty access, yet it is not designed around dedicated creditor-protection statutes, and its favourable rate depends on real substance.

No dedicated charging-order or creditor-bond statute of the kind Cook Islands or Nevis offer
That ~3% effective rate calls for genuine substance — office, local management, audited accounts — rather than a shell
Where the partial exemption does not apply, the standard rate is 15%
Against adversarial creditor claims, a Cook Islands or Nevis structure gives materially stronger protection
When it is specifically creditor protection you need, look at the Cook Islands Company and Nevis Company. For treaty structuring aimed at Africa and Asia, Mauritius is often the better fit.
  • Mauritius registered agent application coordinated from start to finish
  • Trustee, registration and third-party costs itemised in the written quote
  • Mauritius-compliant formation documents prepared where required
  • Structure registered and prepared to receive trustee-approved assets

What is a Mauritius company used for?

People commonly use a Mauritius Global Business Company for investment holding structures that benefit from treaty-reduced withholding tax, and for genuine trading activity across Africa and Asia, drawing on the island's 45+ country tax treaty network.

Is a Mauritius company legal?

Yes. Mauritius GBCs are fully legal, FSC-regulated structures used by international investors and businesses around the world. US persons must report the structure to the IRS each year on Form 5471. Offshore Broker makes sure every structure fully meets home-country reporting obligations.

How does the Mauritius 3% effective tax rate work?

A GBC pays the standard 15% corporate tax rate, but an 80% partial exemption covers qualifying foreign-source income — foreign dividends, interest, and specified services among it — which brings the effective rate down to about 3%. That exemption calls for genuine local substance and has to be actively claimed.

Does a Mauritius company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same extent. Mauritius has no dedicated asset-protection statute for companies — creditor challenges are judged under general common law principles. Where you want dedicated statutory creditor protection, we point you to the Cook Islands or Nevis Company, ideally alongside a trust.

How much does a Mauritius company cost?

Pricing comes on application and turns on the structure you need — a standalone GBC, or a GBC with banking support. You get a full itemised quote before committing, with nothing hidden.

How long does Mauritius company formation take?

Incorporation may be done within a few business days once the documentation is ready, though FSC Global Business Licence approval and building genuine substance usually lengthen the overall timeline. Opening a bank account normally adds another four to ten weeks.

What is the difference between a GBC and an Authorised Company?

A GBC is a Mauritius tax-resident structure that needs genuine local substance and qualifies for the treaty network and partial exemption. An Authorised Company is a non-resident, lighter-substance structure taxed where it is centrally managed rather than in Mauritius. We help work out which one suits your objectives.

What is the substance requirement and is it optional?

No — it is compulsory for any GBC claiming the partial exemption. What is required is a physical Mauritius office, enough qualified personnel, adequate local spending, and core income-generating activities genuinely carried out in Mauritius, not mere administrative formalities.

What assets can a Mauritius company hold?

A Mauritius GBC can hold almost any class of asset — cash, securities, investment holdings, and regional business interests spanning Africa and Asia. It works especially well for treaty-eligible dividend and interest income.

Can a Mauritius company open a bank account?

Yes. We handle the bank introduction and deal with institutions that are actively onboarding Mauritius entities engaged in genuine regional business activity.

What are the annual costs of maintaining a Mauritius company?

Yearly local management company fees, FSC licence fees, audit costs, and compliance obligations run noticeably higher than at a pure shell offshore centre, given the genuine substance requirements — and we give you a full breakdown before you commit. US persons must also file Form 5471 each year.
