How does a Cayman Exempted Company work?

A Cayman Exempted Company belongs to its shareholders, who appoint directors to run it — and one person can take both roles.

The company is formed under the Companies Act and registered through a licensed Cayman registered office. It can issue several classes of shares, hold bank accounts and investments in its own name, and carry on international business without restriction, as long as its activities take place mainly outside the Cayman Islands.

A single director and a single shareholder are all you need to form the company, and neither has to be a Cayman resident. For clients who specifically want it, a Cayman LLC — closely modelled on the Delaware LLC — is also available under a separate Act.

  • Shareholders: own the company and hold its economic and voting rights.
  • Directors: run the company’s affairs and its banking relationships.
  • Registered office: keeps the company’s registration and statutory records within the Cayman Islands.
  • Memorandum and Articles: define the share structure, governance, and shareholder rights.

Offshore Broker handles entity formation, registered office, due diligence, and banking.

Discuss your structure

Direct ties to Cayman registered agents and licensed service providers

We hold direct, licensed Cayman registered office relationships rather than acting as a referral intermediary — the same team that forms Cook Islands and Nevis structures across more than 20 jurisdictions.

Honest guidance — we’ll tell you when BVI or another jurisdiction works out more cost-effective

Our Cayman specialists know the practical realities of fund and institutional structuring, rather than working from generic offshore formation scripts.

Fund structuring expertise spanning Cayman exempted companies, ELPs, and STAR trusts

Every government fee and first-year agent cost are included in the price — no hidden costs, no surprise invoices.

Fixed-fee or quoted formation, with all government fees included

We compare Cayman honestly against Cook Islands and Nevis, so institutional reputation is never mistaken for adversarial creditor defence.

Working across more than 20 jurisdictions — Cayman, BVI, Cook Islands, Nevis, and others

Optional legal and tax advisory keeps you fully compliant at home — every structure is built to be reported properly, not concealed.

Structure comparison

The Cayman Islands Company alongside a Cook Islands or Nevis Company

Both are genuine, well-regulated offshore vehicles, but they answer different needs. Cook Islands and Nevis companies are designed for creditor protection. Cayman companies are designed for institutional credibility — the natural choice when a fund, bank, or counterparty expects a recognised institutional structure.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime; in Nevis a $100,000 creditor bond is added.
Institutional recognitionStrong, though for funds it is less universally known than Cayman.
Best useCreditor protection, whether standalone or paired with a trust.

Cayman Islands Company

Creditor protectionReliant on general common law, with no dedicated asset-protection statute.
Institutional recognitionThe world’s foremost domicile for funds and institutional companies.
Best useFor investment funds, holding structures, and institutional joint ventures.
Choose Cook Islands or Nevis ↗Choose it if creditor protection and asset defence are your central concern.
Choose CaymanChoose it if your priority is institutional recognition, fund structuring, or a joint venture that needs maximum global credibility.

Where Cayman comes out ahead

For funds, holding structures, and institutional joint ventures

A Cayman company is at its most compelling for clients who need the highest level of institutional recognition, particularly in fund or investment settings.

Fund managers and investors drawing on the world’s foremost offshore fund domicile
Holding vehicles for institutional joint ventures or investment platforms
Businesses whose counterparties or banks specifically require a Cayman structure
Clients who want a formal 20-year tax exemption undertaking from the Cayman government
When a different jurisdiction is the better fit

When Cayman on its own isn’t the strongest option

Cayman offers institutional credibility second to none, but it is not built around dedicated creditor-protection statutes.

No dedicated charging-order or creditor-bond statute of the kind Cook Islands or Nevis have
On its own, protection rests on general common law rather than purpose-built legislation
Against adversarial creditor claims, a Cook Islands or Nevis structure gives materially stronger protection
Best paired with a trust when asset protection, not just institutional recognition, is what matters most
If creditor protection is specifically your aim, compare the Cook Islands Company and Nevis Company. For institutional and fund-industry structuring, Cayman is often the stronger fit.
  • Cayman trustee application coordinated from start to finish
  • Trustee, registration and third-party costs itemised in the written quote
  • Cayman-compliant trust deed, STAR objects and enforcer provisions prepared where required
  • Structure registered and prepared to receive trustee-approved assets

What is a Cayman company used for?

A Cayman Exempted Company is most often used for investment funds, institutional holding structures, and joint ventures that need the widest possible global recognition. It is the world’s foremost offshore vehicle for fund and institutional structuring.

Is a Cayman company legal?

Yes. Cayman Exempted Companies are fully legal structures used by families and institutions around the world. US persons must report the structure to the IRS each year on Form 5471. Offshore Broker makes sure every structure meets its home-country reporting obligations in full.

Does a Cayman company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same extent. Cayman has no dedicated asset-protection statute, so creditor challenges are judged under general common law. For dedicated statutory creditor protection, we recommend a Cook Islands or Nevis Company, ideally paired with a trust.

How much does a Cayman company cost?

Pricing is available on application and depends on the structure you need — a standalone Exempted Company, or a company with banking support. You get a full itemised quote before committing, with nothing hidden.

How long does Cayman company formation take?

Forming a Cayman Exempted Company usually takes three to five days from KYC clearance. Opening an offshore bank account typically adds a further four to ten weeks.

What is the 20-year tax exemption undertaking?

Under the Tax Concessions Act, a Cayman Exempted Company can apply for a formal government undertaking that no future Cayman law taxing profits, income, or gains will apply to it for up to 20 years — giving institutional planning long-term certainty.

Is Cayman company ownership private?

Yes. There is no public register of directors, shareholders, or beneficial owners. Only the company’s name and incorporation date appear in the public registry, though a beneficial ownership register must be kept privately and made available to authorities on request.

What assets can a Cayman company hold?

A Cayman company can hold almost any class of asset — cash, securities, fund interests, and institutional joint venture structures. It is the world’s foremost domicile for investment funds and hedge funds.

Can a Cayman company open a bank account?

Yes. We handle the bank introduction and work with institutions that are actively onboarding Cayman entities. Cayman’s institutional reputation tends to make relationships with major banks and fund administrators run more smoothly.

Do I need a lawyer to set up a Cayman company?

We strongly recommend taking independent legal and tax advice, especially for US persons with IRS reporting obligations and for fund or institutional structures. Offshore Broker manages the whole formation and can put you in touch with qualified advisors who specialise in Cayman structures.

What are the annual costs of maintaining a Cayman company?

Annual registered office and government fees usually come to $1,500–$3,000 a year, depending on the authorised share capital. US persons also file Form 5471 each year — a CPA takes care of this, and we make sure the structure is documentation-ready to support compliance from day one.
