How does a Cyprus company work?

A Cyprus company is a private limited company: shareholders own it and appoint directors to run its affairs.

It is set up under the Companies Law, Cap. 113, and registered with the Department of Registrar of Companies and Intellectual Property in Nicosia. Foreign owners can hold it entirely, and one shareholder and one director are enough to form it, who may be the same person and of any nationality.

Every company must keep a registered office in Cyprus. A Cyprus-resident director is not required by statute but is recommended, since genuine management and control there strengthens the company's tax residency position.

  • Shareholders: hold ownership of the company along with its economic and voting rights.
  • Directors: run the company's affairs; a Cyprus-resident director helps establish tax residency.
  • Registered office: a required Cyprus address where statutory records are kept.
  • Memorandum and Articles: define the share structure, governance, and shareholder rights.

Offshore Broker pulls together entity formation, the registered office, due diligence, and banking.

Discuss your structure

Direct ties to Cyprus lawyers, accountants, and registered agents

We hold direct, licensed relationships with Cyprus registered offices rather than acting as a referral intermediary, and it is the same team that forms Cook Islands and Nevis structures across 20+ jurisdictions.

A straight comparison: we'll tell you when BVI or another jurisdiction is more cost-effective

Our Cyprus specialists know the IP Box regime and EU substance requirements, not just generic offshore formation scripts.

Expertise in EU holding companies and IP structures

We quote each formation individually around your structure, itemising all government and third-party costs before you commit.

Fixed-fee formation, with every government fee included

We compare Cyprus honestly against Cook Islands and Nevis, so EU treaty access is never mistaken for adversarial creditor defence.

Working across 20+ jurisdictions, including Cyprus, BVI, Cayman, Malta, Luxembourg and more

Optional legal and tax advisory keeps you fully compliant at home; every structure is built to be reported correctly, not concealed.

Structure comparison

Cyprus Company vs Cook Islands or Nevis Company

Both are genuine, well-regulated company jurisdictions, yet they answer completely different needs. Cook Islands and Nevis companies are made for creditor protection. Cyprus is made for EU market access, IP structuring, and treaty-led efficiency, which is a fundamentally different proposition.

Purpose-built asset protection

Cook Islands or Nevis Company

Creditor protectionA dedicated statutory charging-order regime, with Nevis adding a $100,000 creditor bond.
Tax treatmentGenuinely zero-tax, a true offshore centre.
Best useCreditor protection on its own or paired with a trust.
EU access & treaty depth

Cyprus Company

Creditor protectionGeneral EU civil and common law principles, with no dedicated asset-protection statute.
Tax treatmentLow but genuine: 15% standard, ~3% via IP Box, plus 65+ treaty access.
Best useEU holding structures, IP licensing, and treaty-led trading.
Choose Cook Islands or Nevis ↗If creditor protection and asset defence are your main concern.
Choose CyprusIf your priority is EU market access, IP Box tax efficiency, or treaty-led cross-border structuring.

Where Cyprus leads

EU holding structures, IP licensing, and treaty-led trading

A Cyprus company makes the most sense for clients who need real EU market access and treaty efficiency.

Businesses that want a genuine EU-resident holding or trading company
IP owners and licensors using the IP Box regime for royalty income at a low effective rate
Cross-border businesses whose dividend, interest, or royalty flows run through treaty-partner countries
Clients who want an English-common-law entity inside the EU legal framework
When a different jurisdiction fits better

Where Cyprus on its own isn't the best choice

Cyprus delivers genuine EU access and treaty depth, but it is not designed around dedicated creditor-protection statutes, and it is not tax-free.

No dedicated charging-order or creditor-bond statute of the kind Cook Islands or Nevis have
Not a zero-tax jurisdiction: the 15% standard rate is genuine, even where the IP Box lowers it
EU AML rules require a central UBO register, so the privacy position differs from a pure offshore centre
Against adversarial creditor claims, a Cook Islands or Nevis structure gives materially stronger protection
If creditor protection is specifically what you need, compare the Cook Islands Company and Nevis Company. For EU access and treaty-led structuring, Cyprus is often the stronger fit.
  • Cyprus registered agent application coordinated from start to finish
  • Trustee, registration and third-party costs itemised in the written quote
  • Cyprus-compliant formation documents prepared where required
  • Structure registered and prepared to receive trustee-approved assets

What is a Cyprus company used for?

A Cyprus company is often used for EU-facing trading and holding structures, intellectual property licensing under the IP Box regime, and treaty-led cross-border structuring that involves dividend, interest, or royalty flows.

Is a Cyprus company legal?

Yes. Cyprus companies are fully legal, EU-regulated structures used by international families and businesses around the world. US persons must report the structure to the IRS each year on Form 5471. Offshore Broker makes sure every structure meets home-country reporting obligations in full.

Is Cyprus a zero-tax jurisdiction?

No. As of 2026, Cyprus applies a standard corporate tax rate of 15%. The IP Box regime can bring the effective rate down to about 3% on qualifying intellectual property income, but Cyprus remains a genuine, low-tax EU jurisdiction rather than a zero-tax offshore centre. Its edge is EU access and treaty depth, not tax-free status.

Does a Cyprus company protect assets from creditors like a Cook Islands or Nevis company?

Not to the same extent. Cyprus has no dedicated offshore asset-protection statute for companies, so creditor challenges are judged under general EU civil and common law principles. For dedicated statutory creditor protection, we recommend the Cook Islands or Nevis Company, ideally paired with a trust.

How much does a Cyprus company cost?

Pricing is quoted on application and depends on the structure you need, whether a standalone company or a company with banking support. You get a full itemised quote before committing, with no hidden costs.

How long does Cyprus company formation take?

Cyprus company formation usually finishes within seven to ten working days of KYC clearance. Opening a bank or EMI account normally adds another three to six weeks.

What is the IP Box regime?

The Cyprus IP Box regime lets qualifying intellectual property income be taxed at an effective rate of about 3%, far below the standard 15% corporate rate, as long as genuine qualifying research and development expenditure backs the IP asset.

Do I need a Cyprus-resident director?

It is not required by statute, but we strongly recommend it. Cyprus tax residency turns on where management and control are genuinely exercised, and a Cyprus-resident director materially strengthens that position for reaching EU directives and the treaty network.

What assets can a Cyprus company hold?

A Cyprus company can hold almost any asset class: cash, securities, intellectual property, and shares in subsidiaries. It works especially well for holding IP and shares in treaty-partner-country subsidiaries.

Can a Cyprus company open a bank account?

Yes. We run the bank or EMI introduction and work with institutions that are actively onboarding Cyprus entities. The company's EU-resident, treaty-eligible profile generally makes for efficient institutional banking relationships.

What are the annual costs of maintaining a Cyprus company?

Yearly costs for the registered office, a resident director (where used), and compliance vary with how complex the structure is; we give you a full breakdown before you commit. US persons must also file Form 5471 each year.
